Jay Lefton practises corporate and securities law, offering comprehensive legal advice to clients on public and private mergers & acquisitions transactions, private equity matters, and public and private financings. His expertise extends to assisting with strategic alliances, technology transfer, and licensing, primarily focusing on the technology and life sciences sectors.
Specializing in advising acquirers, target companies, and their boards of directors, Jay handles negotiated transactions and unsolicited takeover bids, many of which are multi-jurisdictional. He provides representation to issuers, both public and private, as well as advisers, venture capitalists, institutional investors, and private equity funds.
Jay collaborates closely with universities, hospitals, research institutions, and researchers, providing guidance at various stages in the commercialization of their discoveries. He plays a pivotal role in the firm’s Israeli and West Bank initiative, traveling to the region several times a year to offer his expertise.
Notably, Jay served as a member of the Ontario Securities Commission’s Securities Advisory Committee, lending his insights on legislative and policy initiatives. Additionally, he was an adjunct faculty member at Osgoode Hall Law School and has instructed at the Rotman School of Management at the University of Toronto.
