Michael Gans is frequently recognized as one of Canada’s leading M&A lawyers, with over 25 years of experience advising on many of Canada’s highest-profile M&A transactions. He represents buyers, targets, and significant shareholders in both domestic and cross-border acquisition transactions, whether negotiated or unsolicited.

Some of the notable transactions he has been involved in include BHP Billiton/Potash, CNOOC/Nexen, Onex/WestJet, and the Hudson’s Bay privatization. Michael has also advised on various middle-market transactions and often represents financial sponsors in platform and roll-up transactions. Recent engagements include advising ABC Technologies Holdings on its take-private transaction led by Apollo Global Management and Stonepeak Infrastructure Partners in their involvement in the privatization of Logistec Corporation.

Beyond M&A, Michael regularly advises special committees and boards on corporate governance matters, internal investigations, and related party transactions. His commitment to governance extends to his role as governor and chair of the governance committee at Branksome Hall, an independent girls’ school in Toronto.
